These Terms of Use, together with any amendments, order forms, and any additional agreements you enter into with Usecoins in connection with the Service (collectively, “Terms”), govern your access to the use of Usecoin’ (“Usecoins”, “we” or “our”) sites, services, and applications (collectively, the “Service”). These Terms apply to any person that registers for and/or opens a Usecoins Account through usecoins.io or any of her associated website, mobile applications, or APIs (together, the “Usecoins Sites”). You should read the entire Terms of Use carefully before you use this website (“Site”) or any of the services of this site. As used herein, “Usecoins” refers to the company Usecoins Ltd. By accessing or using the Service you (“You, Your or Yourself”) are in agreement that you accept and comply with the terms and conditions of use of Usecoins. If you are using the Service on behalf of an organization or entity (“Organization”), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, “you” and “your” refers to you and that Organization. You also accept and agree that you are solely responsible for complying with all laws, rules, regulations and requirements of the jurisdiction in which you live that may be applicable to your use of the Usecoin Site, including but not limited to, those related to taxes, foreign currency or crptocurrency transactions. Depending on your country of residence, you may not have access to all of the functions of the Usecoins Site. IF YOU DO NOT ACCEPT THE TERMS OF USE AND CONDITIONS OUTLINED IN THIS AGREEMENT, DO NOT ACCESS THIS SITE AND DO NOT USE THIS SERVICE.

Usecoins is a cryptocurrency payment processor and not a cryptocurrency exchange, or a platform to buy or sell cryptocurrencies. We enable you to accept cryptocurrency as payment for goods or services, and process cryptocurrency payments that you receive from your customers (Clients). Our Services are only available to individual, small and large businesses that sell products and offer Services. By using the Services, you authorize us to act as your representative to receive, hold and disburse funds on your behalf and to take any actions that we think are necessary to provide the Services and to comply with applicable laws. Payment by customers to Usecoins will be considered the same as payment made directly to you and will extinguish the customers outstanding obligation, to the extent of the payment. Usecoins retains all rights to the Service. The Service may continue to change from time to time as we refine, update and add more features and the changes will be communicated to you. We may stop, suspend, or modify the Service at any time without prior notice to you, in any circumstances we reasonably determine to be necessary, including but not limited to; i. To perform essential repairs/maintenance to the Service. ii. Where your use of the Service is in breach of your obligations under this agreement.

You will only use the Services for legitimate Transactions with your customers (Clients). You know your customers better than we do, and you are responsible for your relationship with them. Usecoins is not responsible for the products or services you publicize or sell, or that your customers purchase using the Services. You affirm that you are solely responsible for the nature and quality of the products or services you provide and delivery to your customers.

Usecoins may incur a cost (“Network Cost”) to sweep an incoming cryptocurrency payment. These Network Costs are included in the invoice total and are paid by the customers (Purchaser). The Network Costs are not returned when a refund is executed.

Cryptocurrency transactions may require a miner fee. These miner fees are automatically created by the Purchaser’s (client’s or customer’s) wallet and sent to the miner. These miner fees are not Usecoins fees. The miner fees paid to the Network are not returned when a refund is executed.

Our fees are exclusive of any applicable Taxes, within your region. You are solely responsible for determining whether, and to what extent, any taxes apply to the sale of your products and services, or payments you receive in connection with your use of the Services, and for withholding, collecting, reporting and remitting the correct amounts of tax to the appropriate tax authorities.

Where you have added a bank account as your preferred settlement method on your Usecoins Account, you may withdraw funds from your Usecoins Account to your bank account (“Payout”). Usecoins will process payouts automatically when your balance reaches NGN 2,000 or equivalent in cryptocurrency. You are solely responsible for ensuring that any Payout instructions provided to Usecoins, including the relevant bank account number are complete and correct and you accept and agree that under no circumstances will Usecoins be under any obligation to reverse or amend any Payouts.

Where you have added a cryptocurrency wallet address as your preferred settlement method on your Usecoins merchant account, you may withdraw funds from your Usecoins Account to your cryptocurrency wallet (“Payout”). Usecoins will process payouts automatically when your balance reaches NGN 2,000 or equivalent in cryptocurrency. You are solely responsible for ensuring that any Payout instructions provided to Usecoins, including the relevant digital wallet address are complete and correct, Usecoins is not liable for any losses incurred as a result of improperly reported wallet addresses that you provide.

Any use of the Usecoins API is entirely at your own risk. It is your responsibility to keep your API keys, passwords or other credentials relating to your use of the Usecoins API, and you accept and agree that you take full responsibility for any kinds of requests made over the API, whether expressly authorised by you or not.

Usecoins reserves the right to restrict, suspend or terminate your Usecoins Account at our discretion if we suspect that you have failed to comply with these Terms, pose an unacceptable fraud risk to us, or if you provide any false, incomplete, inaccurate or misleading information. We will not be liable to you for any losses that you incur in connection with our closure or suspension of your account. Additionally, if your merchant account does not have a paid transaction for a period of twelve consecutive months, Usecoins reserves the right to suspend your account. We also reserve the right to terminate unverified Account that have been inactive for a period of seven days, and/or to modify or discontinue our Site or Service or request to verify information to be able to continue using the Service. Members agree that Usecoins will not be liable to them or to any third party for termination of their Account or access to the Site.

YOUR USE OF THE SITE AND SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SERVICES IS AT YOUR OWN RISK. THE SITE AND SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER USECOINS NOR ANY PERSON ASSOCIATED WITH USECOINS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE SITE OR SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER USECOINS NOR ANYONE ASSOCIATED WITH USECOINS REPRESENTS OR WARRANTS THAT THE SITE OR SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SITE OR SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITE OR SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SERVICES OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON THEM, OR ON ANY WEBSITE LINKED TO THEM. THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

N NO EVENT WILL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OR ANY LOSS, THEFT, DISAPPEARANCE, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST DATA OR OTHER INTANGIBLE LOSSES THAT RESULT FROM THE USE OF, INABILITY TO USE, OR UNAVAILABILITY OF THE SERVICES, REGARDLESS OF THE FORM OF ACTION AND WHETHER OR NOT WE KNEW THAT SUCH DAMAGE MAY HAVE BEEN INCURRED. IN NO EVENT WILL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING, VIRUS TRANSMISSION OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICES, YOUR USECOINS ACCOUNT, OR ANY INFORMATION CONTAINED THEREIN. IN NO EVENT WILL OUR LIABILITY FOR ANY DAMAGES ARISING IN CONNECTION WITH THE SERVICES EXCEED THE FEES EARNED BY US IN CONNECTION WITH YOUR USE OF THE SERVICES DURING THE 6 MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM FOR LIABILITY. THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE TO INDEMNIFY USECOINS, ITS OPERATING ENTITIES OR ANY OTHER AFFILIATES (INCLUDING THEIR RESPECTIVE DIRECTORS, MEMBERS, EMPLOYEES AND/OR AGENTS) AGAINST ANY ACTION, LIABILITY, COST, CLAIM, LOSS, DAMAGE, PROCEEDING OR EXPENSE SUFFERED OR INCURRED DIRECTLY OR INDIRECTLY ARISING FROM YOUR USE OF OR CONDUCT IN RELATION TO THE USECOINS SITE AND/OR YOUR USECOINS ACCOUNT, OR FROM YOUR VIOLATION OF THESE TERMS.

IF WE ARE UNABLE TO PERFORM THE SERVICES OUTLINED IN THE TERMS OF USE DUE TO FACTORS BEYOND OUR CONTROL INCLUDING BUT NOT LIMITED TO AN EVENT OF FORCE MAJEURE, CHANGE OF LAW OR CHANGE IN SANCTIONS POLICY WE WILL NOT HAVE ANY LIABILITY TO YOU WITH RESPECT TO THE SERVICES PROVIDED UNDER THIS AGREEMENT AND FOR A TIME PERIOD COINCIDENT WITH THE EVENT.

Usecoins reserves the right to change, add or remove portions of these Terms, at any time, in an exercise of its sole discretion. You will be notified of any changes in advance through the Usecoins website. Upon such notification, it is your responsibility to review the amended Terms. Your continued use of the Site following the posting of a notice of changes to the Terms signifies that you accept and agree to the changes, and that all subsequent transactions by you will be subject to the amended Terms.
